PLEASE READ THESE TERMS CAREFULLY.

By purchasing, accessing, or using the RealTalk Premium subscription (“Subscription,” “Service”), you agree to be bound by these Subscription Terms & Conditions (“Terms”), the RealTalk Terms of Use, and the RealTalk Privacy Policy.
If you do not agree with these Terms, do not purchase or access RealTalk Premium.

1. Definitions

“Company,” “we,” “us,” “UBTHD LLC” — UBTHD LLC, the owner and operator of the RealTalk platform.
“User,” “you,” “subscriber” — The individual purchasing or using the Subscription.
“RealTalk” — The digital platform including the app, website, backend workflows, AI tools, and all associated features.
“Premium” or “Subscription” — The paid plan providing enhanced features.
“Billing Cycle” — The period between subscription renewals (30 days).

2. Subscription Overview

RealTalk Premium is a digital, monthly subscription that renews automatically until canceled. Purchasing Premium grants access to additional tools designed to support reflection, grounding, and connection.

The Service includes, but is not limited to:

  • Unlimited daily uploads (images, files, data entries)
  • Expanded chat functionality
  • Extended support tools
  • Exclusive workflows and reflections
  • Priority processing within the app
  • Access to early, beta, or experimental features

“Unlimited” features are subject to reasonable use limits designed to prevent abuse, system strain, or exploitation of the platform. UBTHD LLC reserves the right, in its sole discretion, to impose temporary or permanent limits, throttling, suspension, or restrictions, with or without notice, to protect service integrity and ensure fair access for all users.

Reasonable use determinations are made at UBTHD LLC’s sole discretion and may be enforced without prior notice.

Features may evolve, change, or be discontinued at any time.

3. Eligibility & Account Requirements

To subscribe, you must:

  • Be at least 18 years old
  • Create and maintain a valid RealTalk account
  • Provide accurate, current, and complete billing information
  • Have the legal authority to use the provided payment method
  • Agree not to share, sublicense, or resell your account

You are responsible for all activity conducted through your account.

4. Billing & Automatic Renewal

RealTalk Premium is billed at:

$12.00 USD per month

By purchasing the Subscription, you authorize UBTHD LLC (through Shopify) to:

  • Charge $12.00 USD to your selected payment method
  • Automatically renew your subscription every 30 days
  • Continue charging until the subscription is canceled

Recurring billing occurs automatically without additional authorization unless your payment method fails or expires.

Your subscription begins immediately upon successful payment and continues on a recurring basis until canceled.

Access to Premium features is granted immediately upon successful payment.

5. User Responsibility for Managing Billing

You are solely responsible for:

  • Monitoring your subscription status
  • Maintaining an active and valid payment method
  • Canceling before your next renewal if you do not wish to continue
  • Updating billing information as needed
  • Reviewing pricing, plan changes, and policy updates

UBTHD LLC is not responsible for:

  • Failed or expired payment methods
  • Forgotten cancellations
  • Missed emails or notifications
  • Delays or access issues related to Shopify’s customer portal

6. Price Changes

UBTHD LLC reserves the right to modify subscription pricing at any time.

If pricing changes:

  • Advance notice will be provided as required by applicable law
  • The new price will apply to the next billing cycle
  • You may cancel before the new price takes effect
  • Price changes do not apply retroactively

Price changes do not result in prorated refunds, credits, or adjustments for prior billing periods.

7. Cancellation Policy

You may cancel your subscription at any time through:

  • The Shopify Customer Portal
  • The subscription management link included in your email receipt
  • Contacting ubth.dofficial@gmail.com

Cancellation methods are provided online and are accessible without undue burden, in compliance with applicable automatic renewal laws.

Upon cancellation:

  • Your subscription remains active until the end of the current billing cycle
  • You will not be billed again
  • Your account reverts to the Free Plan automatically
  • Your stored data remains unless you request deletion

Canceling a subscription does not entitle you to a refund.

8. Strict No-Refund Policy

RealTalk Premium is a digitally delivered service that becomes accessible immediately upon purchase.

All payments are final. No refunds are issued.

This includes, without limitation:

  • Partial months
  • Forgotten cancellations
  • Change of mind
  • Dissatisfaction with features
  • Automatic renewals
  • Unused time
  • Early cancellation
  • User misunderstanding or error

Nothing in this section limits any non-waivable consumer rights under applicable U.S. law.

Legal Exceptions

Refunds are issued only if:

  • A duplicate charge occurred
  • A fraudulent transaction occurred
  • A billing error occurred due to UBTHD LLC

These are the sole exceptions.

9. Payment Failures & Account Suspension

If a payment fails:

  • Shopify may attempt automatic retries
  • Premium access may be suspended
  • You may be required to update your billing method
  • UBTHD LLC may suspend or terminate access after repeated failures

Restoration of access may require successful payment processing.

10. Service Availability & Modifications

The Service is continuously evolving. UBTHD LLC may:

  • Add, modify, or remove features
  • Update or optimize user experience
  • Change system requirements
  • Perform maintenance or updates
  • Improve safety, security, or performance

These changes may occur with or without notice.
Continued use of the Service constitutes acceptance of such changes.

11. No Medical or Therapeutic Services

RealTalk and RealTalk Premium do not provide:

  • Medical advice
  • Mental health treatment
  • Crisis intervention
  • Diagnosis
  • Therapy
  • Emergency services

RealTalk is a self-guided reflection and support tool, not a healthcare service.
No content should be interpreted as professional, medical, or therapeutic advice.

If you are in crisis, contact 988 or your local emergency number.

You accept full responsibility for decisions made based on use of the Service.

12. Data Collection & Privacy

User data—including chat logs, uploads, contact lists, goals, and device information—is handled in accordance with the RealTalk Privacy Policy.

UBTHD LLC:

  • Does not sell personal data
  • Does not share data for advertising
  • Does not monetize personal uploads
  • Allows data access or deletion requests
  • Retains data in association with user accounts

Data retention, deletion, and storage—including backups, logs, and security copies—are governed by the Privacy Policy, applicable law, and legitimate operational requirements. Data deletion requests may not result in immediate or complete removal due to technical, legal, or compliance obligations. Certain data may be retained as required by law or for dispute resolution, security, or fraud prevention purposes.

Upon account termination, UBTHD LLC may retain or delete data in accordance with its Privacy Policy, legal obligations, and operational requirements. Certain data may survive termination where legally required.

13. Misuse, Fair Use Violations & Termination

UBTHD LLC may suspend or terminate accounts that:

  • Violate these Terms
  • Abuse or misuse the Service
  • Attempt system manipulation
  • Engage in harassment, threats, or harmful conduct
  • Engage in illegal activity

Accounts terminated for misuse or abuse may lose access to stored data, subject to applicable law.
No refunds are issued under any circumstances following termination.

14. Intellectual Property, User Content & AI Processing License

All software, workflows, prompts, features, content, and underlying technology of RealTalk are owned exclusively by UBTHD LLC.

Users retain ownership of content they upload, submit, or input into the Service (“User Content”).

By using the Service, you grant UBTHD LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, analyze, reproduce, display, and transmit User Content solely for the purpose of operating, maintaining, improving, securing, and providing the Service, including processing such content through automated systems and artificial intelligence technologies.

This license includes permission to generate outputs based on User Content and to return such outputs to you within the Service. UBTHD LLC does not claim ownership over User Content and does not sell or commercially exploit personal User Content.

De-identified and aggregated data derived from User Content may be used to improve system performance, safety, and reliability.

Users may not copy, reproduce, distribute, resell, sublicense, or exploit any portion of the Service or its outputs without prior written consent.

15. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

UBTHD LLC disclaims all warranties, express or implied, including:

  • Service availability
  • Accuracy or reliability of content
  • Emotional or behavioral outcomes
  • Error-free operation
  • Compatibility across devices

Use of the Service is at your own risk.

16. Limitation of Liability

To the fullest extent permitted by law, UBTHD LLC and its affiliates are not liable for:

  • Emotional outcomes or decisions
  • Service interruptions or data loss
  • Misinterpretation of content
  • Third-party service failures, including Shopify or hosting providers
  • Indirect, incidental, or consequential damages

Total liability shall not exceed one month of subscription fees ($12 USD).

17. Arbitration, Class Action Waiver & Jury Trial Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.

Arbitration shall be conducted on an individual basis only. You and UBTHD LLC expressly waive any right to bring or participate in a class action, collective action, or representative proceeding.

You further waive any right to a jury trial.

UBTHD LLC will pay all arbitration filing and administrative fees required by AAA consumer rules, except for any fee that would be required if the claim were filed in small claims court.

Either party may bring an individual claim in small claims court in lieu of arbitration, provided the claim qualifies.

18. Force Majeure

UBTHD LLC shall not be liable for failure or delay in performance due to events beyond its reasonable control, including acts of God, natural disasters, internet outages, cyberattacks, third-party service failures, government actions, or infrastructure disruptions.

19. Assignment

UBTHD LLC may assign or transfer these Terms, in whole or in part, without notice or consent, including in connection with a merger, acquisition, or sale of assets.

20. Modification of Terms

UBTHD LLC reserves the right to modify these Terms at any time. Updated Terms will be effective upon posting. Continued use of the Service constitutes acceptance of the revised Terms. You are responsible for reviewing them periodically.

21. Electronic Communications, Notice & Assent

You consent to receive all communications, notices, disclosures, and agreements electronically, including via email, in-app notifications, or posting within the Service.

Posting updated Terms, sending notice by email, or providing in-app notice constitutes legally sufficient notice. Continued use of the Service after such notice constitutes acceptance of the revised Terms.

By completing a purchase or subscription transaction, you affirmatively assent to these Terms.

22. Severability & Waiver

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any right shall not constitute a waiver of that right.

23. Survival

Sections relating to payment obligations, intellectual property, disclaimers, limitation of liability, arbitration, and governing law shall survive termination.

24. Export Controls & Sanctions

You represent that you are not located in, and will not use the Service in, any country or region subject to U.S. trade sanctions or export restrictions, and that you are not listed on any U.S. government restricted-party list.

25. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Florida.
All disputes shall be resolved exclusively in Florida state or federal courts, except where arbitration is required.

27. Entire Agreement

These Terms constitute the entire agreement between you and UBTHD LLC regarding RealTalk Premium and supersede all prior agreements.

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Subscription Terms & Conditions.
