  1. AGREEMENT TO TERMS AND PURCHASE CONDITIONS

These Terms of Sale (“Terms”) are entered into by and between UBTHD LLC, a Florida limited liability company (“UBTHD,” “Company,” “we,” “us,” or “our”), and the individual, company, organization, or other entity purchasing UBTHD products (“Customer,” “you,” or “your”).

These Terms govern all purchases of UBTHD products, including but not limited to products purchased through UBTHD websites, online stores, authorized sales channels, events, pop-ups, collaborations, or any other approved method of purchase.

By placing an order, completing a purchase, clicking acceptance of these Terms, creating an account, or otherwise purchasing or receiving UBTHD products, Customer acknowledges that Customer has read, understood, and agrees to be legally bound by these Terms.

Customer’s purchase of UBTHD products constitutes acceptance of these Terms as a binding agreement between Customer and UBTHD.

These Terms establish the conditions governing the purchase, possession, use, and permitted handling of UBTHD products. These Terms are intended to clarify the rights and obligations of both Parties, including ownership rights, intellectual property protections, purchase conditions, product limitations, and restrictions applicable to UBTHD products.

Customer acknowledges and agrees that UBTHD products are sold as finished physical products only and that purchase of any UBTHD product does not constitute the transfer, assignment, sale, or conveyance of ownership rights in UBTHD’s intellectual property, creative assets, designs, product concepts, product formats, manufacturing methods, or other proprietary materials.

Customer further acknowledges and agrees that these Terms govern the relationship between Customer and UBTHD regarding purchased products and operate separately from any additional written agreements that may apply to custom projects, collaborations, licensing arrangements, partnerships, or other business relationships involving UBTHD.

Nothing in these Terms shall be interpreted or construed as creating:

  • a partnership, joint venture, agency relationship, employment relationship, franchise relationship, reseller relationship, distributor relationship, or other business association between Customer and UBTHD;
  • any ownership interest in UBTHD’s intellectual property;
  • any implied license or authorization to reproduce, manufacture, distribute, modify, commercialize, or create derivative products based on UBTHD products or materials.

UBTHD reserves the right to update, modify, or revise these Terms from time to time. Any updated Terms shall apply to purchases made after the effective date of such updates.

By completing a purchase from UBTHD, Customer confirms acceptance of the Terms in effect at the time of purchase.

  1. PURCHASE OF PHYSICAL PRODUCTS; NO TRANSFER OF INTELLECTUAL PROPERTY RIGHTS

Customer acknowledges and agrees that the purchase of any UBTHD product grants Customer ownership only of the specific physical product purchased and does not transfer, assign, sell, convey, or grant any ownership rights in UBTHD’s intellectual property, creative assets, business assets, or proprietary materials.

Customer receives the right to possess, use, and enjoy the purchased physical product for personal use only, subject to the limitations and restrictions contained in these Terms.

Purchase of a UBTHD product does not constitute a sale, assignment, transfer, license, or conveyance of any rights in or to UBTHD intellectual property, including but not limited to:

  • designs;
  • artwork;
  • illustrations;
  • logos;
  • trademarks;
  • branding elements;
  • product concepts;
  • product formats;
  • creative systems;
  • design frameworks;
  • templates;
  • layouts;
  • collections;
  • packaging;
  • photographs;
  • marketing materials;
  • manufacturing processes;
  • production methods;
  • techniques;
  • specifications;
  • proprietary processes;
  • know-how;
  • derivative concepts;
  • other creative, technical, or commercial assets created, developed, owned, or utilized by UBTHD.

Customer acknowledges and agrees that the value of UBTHD products includes not only the physical item itself, but also the creative development, product design, product format, production methods, manufacturing decisions, branding, and other proprietary elements created or controlled by UBTHD.

Customer’s purchase, payment, possession, receipt, use, display, review, approval, resale, gifting, or transfer of a UBTHD product shall not create any ownership interest, implied license, authorization, or other rights in UBTHD intellectual property.

Customer specifically acknowledges that possession of a UBTHD product does not grant Customer the right to:

  • reproduce or copy UBTHD products;
  • manufacture additional products based on UBTHD products;
  • submit UBTHD products to another manufacturer for recreation or duplication;
  • use UBTHD products as templates, samples, prototypes, or references for independent production;
  • recreate UBTHD product formats, designs, or creative systems;
  • create derivative products based on UBTHD intellectual property;
  • commercially exploit any UBTHD product, design, concept, or proprietary element without prior written authorization from UBTHD.

Any rights relating to UBTHD intellectual property must be expressly granted in a separate written agreement executed by UBTHD. No ownership rights, licenses, permissions, or commercial rights shall be implied from purchase, payment, possession, use, or receipt of UBTHD products.

Customer acknowledges and agrees that UBTHD retains all right, title, and interest in and to its intellectual property before, during, and after the sale of any physical product.

Customer further acknowledges that the purchase of a UBTHD product is a transaction for a finished physical good and does not constitute the purchase of UBTHD’s underlying creative assets, product development systems, manufacturing capabilities, or proprietary business methods.

3.     UBTHD OWNERSHIP OF DESIGNS, PRODUCT CONCEPTS, AND INTELLECTUAL PROPERTY

Customer acknowledges and agrees that UBTHD LLC exclusively owns and retains all right, title, and interest in and to all UBTHD intellectual property, creative assets, product concepts, designs, and proprietary materials created, developed, utilized, or controlled by UBTHD in connection with its products, services, collaborations, and business operations.

UBTHD intellectual property includes, but is not limited to:

  • product designs;
  • artwork;
  • illustrations;
  • graphics;
  • logos;
  • trademarks;
  • brand assets;
  • product concepts;
  • product formats;
  • product structures;
  • design frameworks;
  • creative systems;
  • collections;
  • themes;
  • layouts;
  • templates;
  • packaging concepts;
  • photography;
  • marketing materials;
  • written content;
  • production files;
  • technical specifications;
  • manufacturing processes;
  • production methods;
  • material selections;
  • supplier and production knowledge;
  • proprietary techniques;
  • know-how;
  • business methods;
  • other creative, technical, or commercial elements associated with UBTHD products.

Customer acknowledges that UBTHD’s products are the result of original creative development, product design, manufacturing decisions, and proprietary processes owned and controlled by UBTHD.

Customer’s purchase of a UBTHD product does not grant Customer any ownership interest in UBTHD intellectual property, regardless of:

  • the purchase price paid;
  • the quantity of products purchased;
  • the duration of Customer’s possession of the product;
  • whether the product was purchased individually or as part of a collection;
  • whether the product was purchased as a gift or transferred to another individual;
  • whether Customer provides feedback, suggestions, ideas, or requested modifications relating to a UBTHD product.

Customer acknowledges and agrees that any feedback, suggestions, ideas, concepts, or recommendations provided to UBTHD relating to UBTHD products may be considered by UBTHD for future development, improvement, or business purposes, and Customer does not acquire any ownership interest, claim, or right in any resulting UBTHD product, design, concept, or intellectual property unless expressly agreed to by UBTHD in a separate written agreement.

Customer shall not represent, imply, or suggest that Customer created, designed, developed, owns, or controls any UBTHD product, design, concept, or intellectual property solely because Customer purchased, possessed, used, displayed, reviewed, provided feedback on, or otherwise interacted with a UBTHD product.

Customer acknowledges that UBTHD may continue to develop, modify, improve, reproduce, sell, license, collaborate, and commercialize its products, designs, concepts, and intellectual property without restriction, unless expressly limited by a separate written agreement executed by UBTHD.

Nothing contained in these Terms transfers, assigns, licenses, or grants Customer any rights in UBTHD intellectual property except for the limited right to personally use the purchased physical product as intended.

All rights not expressly granted to Customer under these Terms are expressly reserved by UBTHD.

  1. PERSONAL USE LICENSE AND PERMITTED PRODUCT USE

Upon purchase of a UBTHD product, Customer receives a limited, non-exclusive, non-transferable right to personally possess, use, display, and enjoy the purchased physical product for its intended personal purpose.

This limited right applies only to the physical product purchased by Customer and does not grant Customer any ownership rights, intellectual property rights, commercial rights, reproduction rights, manufacturing rights, or other rights relating to UBTHD intellectual property.

Permitted use of a purchased UBTHD product includes:

  • personal possession and use of the purchased product;
  • displaying the purchased product in personal spaces or collections;
  • gifting the purchased product to another individual;
  • transferring ownership of the specific physical product through a lawful personal transfer, provided that such transfer does not include any transfer of rights in UBTHD intellectual property;
  • using the purchased product as intended based on its design and function.

Customer acknowledges that any permitted use of a UBTHD product is limited to the specific physical item purchased and does not extend to UBTHD’s designs, product concepts, creative systems, manufacturing processes, branding, or other proprietary materials incorporated into or associated with the product.

Customer shall not interpret ownership of a purchased UBTHD product as granting permission to:

  • reproduce or copy the product;
  • manufacture additional units;
  • create similar or derivative products;
  • remove, modify, or replicate UBTHD branding or design elements for separate commercial purposes;
  • use the product as a basis for creating competing products;
  • represent the product or any UBTHD intellectual property as Customer-created or Customer-owned.

Customer acknowledges and agrees that the limited rights granted under this Section are provided solely to allow Customer to enjoy the purchased physical product as intended while preserving UBTHD’s ownership and control over its intellectual property.

Any use beyond personal possession and enjoyment of the purchased product requires prior written authorization from UBTHD and, where applicable, a separate written agreement governing such use.

UBTHD reserves all rights not expressly granted to Customer under these Terms.

5. PROHIBITED USES: REPRODUCTION, MANUFACTURING, COPYING, AND COMMERCIAL EXPLOITATION

Customer acknowledges and agrees that UBTHD products are sold as finished physical consumer products for personal ownership and use only. The purchase of any UBTHD product does not grant Customer any ownership rights, intellectual property rights, manufacturing rights, reproduction rights, commercial rights, or other rights relating to UBTHD’s designs, product concepts, creative systems, product formats, artwork, production methods, or other proprietary elements.

Except as expressly authorized in writing by UBTHD LLC, Customer shall not copy, reproduce, recreate, manufacture, distribute, sell, license, modify, adapt, reverse engineer, or commercially exploit any UBTHD product or any element incorporated into or associated with UBTHD products.

Customer specifically agrees that Customer shall not:

·      Reproduce or duplicate UBTHD products, designs, artwork, graphics, layouts, product formats, or creative concepts;

·      Manufacture, commission, outsource, or authorize any third party to manufacture products that are identical, substantially similar, or derived from UBTHD products;

·      Provide UBTHD products, photographs, product details, measurements, materials, specifications, designs, or other information to another manufacturer, supplier, factory, or third party for the purpose of creating similar products;

·      Use UBTHD products as a template, reference design, production sample, or basis for developing competing products;

·      Remove, recreate, alter, or replicate UBTHD branding, design elements, product systems, or proprietary features for use on other products;

·      Create derivative products, merchandise, collections, or commercial applications based upon UBTHD products or UBTHD Intellectual Property;

·      Sell, resell, license, distribute, or otherwise commercialize unauthorized reproductions or derivative versions of UBTHD products;

·      Use UBTHD products, designs, images, or materials for the purpose of creating competing products, brands, businesses, or commercial offerings.

Customer acknowledges and agrees that the value of UBTHD products includes not only the physical item purchased, but also UBTHD’s original creative concepts, product development, design execution, material selection, manufacturing approach, production methods, and overall creative direction.

Customer further acknowledges that possession, ownership, or purchase of a UBTHD product does not provide Customer with access to, ownership of, or permission to exploit UBTHD’s underlying creative assets, intellectual property, manufacturing processes, or business systems.

Nothing in these Terms of Sale restricts Customer from personally owning, using, displaying, gifting, or disposing of a legitimately purchased UBTHD product as a physical item. However, any reproduction, manufacturing, commercial use, or exploitation of UBTHD products or UBTHD Intellectual Property without prior written authorization from UBTHD is strictly prohibited.

UBTHD reserves all rights and remedies available under applicable law against any unauthorized reproduction, manufacturing, copying, distribution, resale, or commercial exploitation of UBTHD products or intellectual property.

Authorized Resale Exception

Notwithstanding the restrictions contained in this Section, authorized retailers, distributors, organizations, universities, bookstores, brands, or other commercial purchasers who purchase UBTHD products directly from UBTHD LLC pursuant to an approved wholesale, retail, partnership, distribution, or other written arrangement may resell genuine UBTHD products purchased from UBTHD.

Such authorized resale rights are limited solely to the resale of authentic UBTHD products lawfully purchased from UBTHD and do not grant any right to reproduce, manufacture, copy, modify, recreate, or develop products based upon UBTHD products, UBTHD Intellectual Property, or UBTHD product concepts.

Unless otherwise expressly agreed in writing, purchase of UBTHD products for resale does not transfer ownership of UBTHD designs, product concepts, creative systems, manufacturing processes, production methods, or other UBTHD Intellectual Property.

6. RESALE, DISTRIBUTION, AND UNAUTHORIZED COMMERCIAL USE

Customer acknowledges and agrees that UBTHD products may only be resold, distributed, or commercially transferred in accordance with the rights expressly granted by UBTHD and any applicable written agreement between UBTHD and Customer.

Except as expressly authorized by UBTHD, purchase of UBTHD products does not grant Customer the right to act as a reseller, distributor, retailer, wholesaler, licensing partner, or commercial representative of UBTHD.

Customer shall not:

  • represent or imply that Customer is an authorized reseller, distributor, retailer, partner, affiliate, or representative of UBTHD without written authorization from UBTHD;
  • purchase UBTHD products for the purpose of unauthorized resale, redistribution, or commercial exploitation;
  • distribute UBTHD products through third-party marketplaces, retail channels, websites, stores, events, or sales channels without prior authorization from UBTHD;
  • use UBTHD products, branding, images, product descriptions, designs, or marketing materials to create the appearance of an authorized UBTHD relationship without written approval;
  • combine, modify, repackage, relabel, or alter UBTHD products for resale or commercial distribution without authorization from UBTHD;
  • use UBTHD products as part of another commercial product, subscription box, promotional offering, corporate gifting program, or merchandise collection without prior written approval from UBTHD.

Authorized resale is permitted only where expressly approved by UBTHD, including through approved wholesale arrangements, retail agreements, university partnerships, organizational purchases, collaborations, or other written commercial agreements.

Where UBTHD authorizes resale, Customer’s rights are limited solely to the resale of authentic UBTHD products lawfully purchased from UBTHD. Authorized resale does not grant Customer any ownership interest in UBTHD Intellectual Property or any right to:

  • reproduce UBTHD products;
  • manufacture additional units;
  • modify UBTHD products into derivative products;
  • use UBTHD designs, concepts, formats, or creative systems independently;
  • source competing production of UBTHD products;
  • create products that imitate or are substantially similar to UBTHD products.

Customer acknowledges and agrees that authorized resale of UBTHD products is separate and distinct from ownership of UBTHD’s intellectual property, creative assets, product concepts, and proprietary business systems.

Any unauthorized resale, distribution, reproduction, manufacturing, or commercial exploitation of UBTHD products or UBTHD Intellectual Property may constitute a breach of these Terms and may result in suspension of purchasing privileges, termination of any authorized relationship, and pursuit of available legal remedies.

UBTHD reserves the right to determine, in its sole discretion, whether a customer, retailer, organization, or other entity qualifies for authorized resale or commercial purchasing rights.

7. BRAND NAMES, LOGOS, IMAGES, AND MARKETING MATERIALS

Customer acknowledges and agrees that all UBTHD names, logos, trademarks, service marks, trade dress, product images, photographs, graphics, written content, marketing materials, brand elements, and other identifying materials associated with UBTHD products are owned by or licensed to UBTHD LLC and remain the exclusive property of UBTHD.

Purchase, possession, resale authorization, or use of any UBTHD product does not grant Customer any ownership rights, trademark rights, copyright rights, license rights, or other intellectual property rights in or to UBTHD brand assets or marketing materials.

Customer shall not use UBTHD brand assets, including but not limited to:

  • UBTHD names, logos, trademarks, symbols, or brand identifiers;
  • product photography or promotional images;
  • website content;
  • product descriptions;
  • marketing copy;
  • graphics, illustrations, or design elements;
  • other UBTHD-created promotional materials;

except as expressly permitted under these Terms or through a separate written agreement executed by UBTHD.

Customer shall not:

  • modify, alter, distort, recreate, or imitate UBTHD branding or marketing materials;
  • use UBTHD names, logos, or brand assets in a manner that suggests ownership, sponsorship, endorsement, partnership, affiliation, or authorization by UBTHD without written approval;
  • create advertisements, promotional materials, websites, social media accounts, or commercial content using UBTHD brand assets without authorization;
  • remove, obscure, cover, or alter UBTHD branding, ownership notices, labels, packaging, or identifying marks associated with UBTHD products;
  • register or attempt to register any trademark, domain name, social media handle, business name, or other identifier incorporating UBTHD branding or confusingly similar elements.

Authorized retailers, organizations, universities, collaborators, and commercial purchasers may receive limited permission to use approved UBTHD images, product information, or brand assets solely for the purpose of promoting or selling authorized UBTHD products, as expressly permitted by UBTHD or an applicable written agreement.

Any permitted use of UBTHD brand assets is limited, non-exclusive, non-transferable, and solely for the approved purpose. Such permission does not transfer ownership of UBTHD trademarks, branding, marketing materials, or other intellectual property.

Customer acknowledges and agrees that the reputation, recognition, goodwill, and commercial value associated with UBTHD branding are valuable assets belonging exclusively to UBTHD.

Nothing in these Terms grants Customer any right to use UBTHD branding, product images, marketing materials, or other intellectual property beyond the limited rights expressly provided.

UBTHD reserves all rights not expressly granted to Customer under these Terms.

8. CUSTOM PRODUCTS AND CUSTOMER-REQUESTED MATERIALS (IF APPLICABLE)

Customer acknowledges and agrees that certain UBTHD products, custom projects, personalized products, collaborations, or special orders may involve Customer-provided materials, requests, instructions, specifications, trademarks, logos, artwork, designs, names, or other content submitted or authorized by Customer (“Customer Materials”).

Customer retains ownership of Customer Materials provided by Customer to UBTHD. Nothing contained in these Terms transfers ownership of Customer Materials to UBTHD.

By submitting, providing, or authorizing Customer Materials for use in connection with a UBTHD product or custom project, Customer grants UBTHD a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, prepare, modify for production compatibility, format, display, incorporate, and otherwise utilize Customer Materials solely as necessary to design, produce, fulfill, complete, and, where applicable, market the approved UBTHD product or project.

This limited permission does not transfer ownership of Customer Materials to UBTHD and does not grant UBTHD any ownership interest in Customer trademarks, logos, brand assets, or other proprietary materials provided by Customer.

Customer represents and warrants that Customer owns, controls, or has obtained all necessary rights, permissions, licenses, approvals, and authorizations required for Customer Materials submitted to UBTHD.

Customer is solely responsible for ensuring that Customer Materials do not infringe upon, violate, misappropriate, or otherwise interfere with the rights of any third party, including but not limited to:

  • trademarks;
  • copyrights;
  • publicity rights;
  • privacy rights;
  • contractual rights;
  • other intellectual property or proprietary rights.

Customer acknowledges and agrees that UBTHD is relying upon Customer’s representations regarding ownership and authorization of Customer Materials and that UBTHD is not responsible for independently verifying Customer’s rights to submitted materials.

Customer further acknowledges and agrees that the use of Customer Materials in a UBTHD product does not transfer ownership of any UBTHD Intellectual Property created, developed, or utilized in connection with the product or project.

Unless expressly agreed otherwise in a separate written agreement, UBTHD retains exclusive ownership of all UBTHD-created elements associated with custom products, including but not limited to:

  • product concepts;
  • product formats;
  • designs;
  • artwork execution;
  • layouts;
  • creative systems;
  • manufacturing processes;
  • production methods;
  • technical specifications;
  • templates;
  • product development methods;
  • other UBTHD Intellectual Property.

Customer acknowledges that payment for a custom product, approval of a design, submission of Customer Materials, or receipt of a completed product does not transfer ownership of UBTHD Intellectual Property.

Customer shall not use, reproduce, manufacture, outsource, distribute, or commercially exploit any UBTHD-created elements incorporated into a custom product without prior written authorization from UBTHD.

Any additional production runs, expanded uses, derivative products, merchandise applications, or commercial uses involving a UBTHD-created custom product must be separately approved in writing by UBTHD.

UBTHD reserves the right to decline, refuse, or discontinue any custom project, requested design, Customer Materials, or product application that UBTHD determines may create legal, reputational, operational, or intellectual property concerns.

9. PRODUCT AVAILABILITY, PRICING, AND ORDER ACCEPTANCE

Customer acknowledges and agrees that all UBTHD products, collections, designs, releases, quantities, pricing, availability, and purchasing opportunities are subject to change at any time without notice unless otherwise expressly agreed in writing by UBTHD LLC.

UBTHD reserves the right, in its sole discretion, to:

  • modify, update, discontinue, or limit the availability of any product, collection, design, color, style, variation, or offering;
  • limit quantities available for purchase;
  • impose purchase restrictions or order limits;
  • refuse, cancel, or decline any order;
  • correct pricing, product descriptions, availability information, or other errors displayed through UBTHD sales channels.

Placement of an order does not constitute acceptance of the order by UBTHD. An order is not considered accepted until UBTHD has confirmed acceptance, received payment where applicable, and/or otherwise communicated approval of the order.

UBTHD reserves the right to refuse or cancel any order, including after an order has been submitted or payment has been processed, for reasons including but not limited to:

  • product availability issues;
  • pricing or listing errors;
  • suspected fraud or unauthorized transactions;
  • suspected resale, misuse, or violation of these Terms;
  • inability to fulfill the order;
  • customer-provided information errors;
  • circumstances outside of UBTHD’s reasonable control.

If UBTHD cancels an order after payment has been received, UBTHD will provide an appropriate refund of amounts paid for the canceled order unless otherwise required by applicable law.

Customer acknowledges and agrees that product images, descriptions, specifications, colors, dimensions, materials, and other product details are provided for informational purposes and may vary slightly due to:

  • manufacturing variations;
  • material characteristics;
  • screen or display settings;
  • photography conditions;
  • production updates;
  • design improvements.

Such variations do not constitute a defect or failure to conform unless the product materially differs from the approved product description or applicable order specifications.

Prices for UBTHD products may change at any time prior to order acceptance. Price changes will not apply retroactively to orders already accepted by UBTHD unless otherwise required by applicable law or agreed upon in writing.

Customer acknowledges that limited releases, special collections, collaborations, and custom products may be produced in limited quantities and may not be restocked or reproduced.

UBTHD does not guarantee the continued availability of any product, design, collection, or offering and reserves the right to discontinue any product or product line at any time.

By completing a purchase, Customer acknowledges and agrees that Customer has reviewed and accepted the applicable product information, pricing, purchasing conditions, and these Terms of Sale.

10. PAYMENT TERMS

Customer agrees to pay all amounts due for UBTHD products, purchases, custom products, authorized resale orders, collaborations, or other goods and services in accordance with the payment terms presented at the time of purchase or otherwise agreed upon in writing by UBTHD LLC.

Unless otherwise expressly agreed in writing, payment in full is required before UBTHD is obligated to begin production, prepare an order for fulfillment, ship products, or provide any goods or services.

Customer acknowledges and agrees that:

  • all prices listed by UBTHD are stated in United States dollars unless otherwise indicated;
  • Customer is responsible for providing accurate and complete payment information;
  • Customer authorizes UBTHD and its approved payment processors to charge the payment method provided for all amounts due;
  • Customer is responsible for all applicable taxes, fees, shipping charges, and other costs associated with the purchase unless otherwise stated by UBTHD;
  • failure to complete payment may result in cancellation, delay, suspension, or refusal of an order.

For custom products, bulk purchases, authorized resale orders, collaborations, or other commercial transactions, UBTHD may require additional payment terms, including but not limited to:

  • deposits;
  • milestone payments;
  • payment schedules;
  • minimum order commitments;
  • non-refundable production fees;
  • final payment prior to shipment or delivery.

Any payment terms provided in a separate written agreement, invoice, purchase order, wholesale agreement, partnership agreement, or custom product agreement shall control over these general Terms of Sale for that specific transaction.

Customer acknowledges and agrees that payments made to UBTHD are payments for physical products, production services, approved customization, or other authorized goods and services only. Payment does not grant Customer ownership rights in UBTHD Intellectual Property, designs, product concepts, creative systems, manufacturing processes, production methods, or other proprietary assets.

Customer is responsible for reviewing all order details, pricing, quantities, shipping information, and applicable charges prior to completing a purchase. Except as otherwise provided in these Terms or required by applicable law, Customer remains responsible for payment obligations associated with accepted orders.

UBTHD reserves the right to suspend, delay, cancel, or refuse future orders from any Customer with unpaid balances, payment disputes, fraudulent activity, chargebacks, or violations of these Terms.

Any unauthorized chargeback, payment reversal, or dispute initiated by Customer without first providing UBTHD a reasonable opportunity to resolve a legitimate issue may constitute a breach of these Terms. Customer remains responsible for any unpaid amounts, processing fees, collection costs, or other damages resulting from improper payment disputes to the extent permitted by applicable law.

11. SHIPPING, DELIVERY, AND RISK OF LOSS

Customer acknowledges and agrees that shipping, delivery, and fulfillment timelines for UBTHD products are estimates only and are subject to product availability, production timelines, carrier performance, shipping conditions, and circumstances outside of UBTHD’s reasonable control.

UBTHD will make commercially reasonable efforts to process, prepare, and ship accepted orders within the estimated timeframe communicated to Customer. However, UBTHD does not guarantee specific delivery dates unless expressly agreed upon in writing.

Customer is responsible for providing accurate and complete shipping information at the time of purchase, including:

  • recipient name;
  • shipping address;
  • apartment, unit, or suite information where applicable;
  • contact information;
  • any other information necessary for successful delivery.

UBTHD is not responsible for delays, failed deliveries, lost shipments, returned packages, or additional shipping costs resulting from inaccurate, incomplete, or outdated information provided by Customer.

Once an order has been shipped to the address provided by Customer and accepted by the applicable carrier, responsibility for the shipment transfers as permitted by applicable law, except to the extent any issue results from UBTHD’s error, negligence, or failure to properly fulfill the order.

Customer acknowledges and agrees that UBTHD is not responsible for delays, losses, damages, or delivery failures caused by:

  • shipping carriers;
  • incorrect shipping information provided by Customer;
  • weather events;
  • natural disasters;
  • governmental actions;
  • customs delays;
  • transportation disruptions;
  • labor disruptions;
  • supplier delays;
  • other circumstances outside UBTHD’s reasonable control.

Customer is responsible for monitoring shipment tracking information provided by UBTHD or its shipping providers and should promptly notify UBTHD of any suspected delivery issues.

If a package is returned to UBTHD due to Customer-provided shipping errors, failure to claim delivery, refusal of delivery, or other circumstances caused by Customer, Customer may be responsible for additional shipping costs, handling fees, or other reasonable expenses associated with reshipment or processing.

For authorized resale orders, bulk purchases, wholesale transactions, collaborations, or custom projects, shipping terms, delivery responsibilities, transfer of risk, and fulfillment obligations may be governed by a separate written agreement, invoice, purchase order, or commercial agreement.

Customer acknowledges and agrees that shipping and delivery obligations relate solely to the physical transfer of purchased products and do not affect ownership rights relating to UBTHD Intellectual Property, designs, product concepts, creative systems, manufacturing processes, production methods, or other proprietary assets.

12. RETURNS, EXCHANGES, REFUNDS, AND PRODUCT ISSUES

Customer acknowledges and agrees that all purchases of UBTHD products are final. Due to the nature of UBTHD products, including limited releases, collectible products, small-batch products, custom products, and specially produced items, UBTHD does not accept returns, exchanges, or refunds except as expressly provided in this Section.

Customer is responsible for reviewing product descriptions, images, specifications, sizing information, product details, and order information prior to completing a purchase.

UBTHD does not provide returns, exchanges, refunds, or credits for reasons including but not limited to:

  • change of mind;
  • personal preference;
  • incorrect expectations;
  • ordering the wrong product;
  • ordering the wrong quantity;
  • dissatisfaction where the product matches the description provided at the time of purchase;
  • normal wear and tear;
  • minor variations inherent to small-batch or collectible production.

UBTHD may, in its sole discretion, provide a replacement, refund, store credit, or other remedy only where:

  • Customer receives the wrong product due to an error by UBTHD;
  • the product arrives materially damaged due to a manufacturing defect or fulfillment error;
  • the product contains a substantial defect directly caused by UBTHD.

Customer must notify UBTHD of any claimed product issue within 14 days of delivery and provide reasonable documentation, which may include:

  • order information;
  • photographs of the product;
  • photographs of packaging;
  • a description of the claimed issue;
  • any other information reasonably requested by UBTHD.

UBTHD reserves the right to review, investigate, and determine whether a reported issue qualifies for any remedy under this Agreement.

Customer acknowledges and agrees that reasonable variations may occur between individual UBTHD products due to:

  • small-batch production methods;
  • material characteristics;
  • manufacturing tolerances;
  • differences between digital images and physical products;
  • handmade or individually produced elements.

Such variations do not constitute defects and do not qualify for returns, exchanges, or refunds.

For custom products, collaborations, bulk purchases, authorized resale orders, university or organization orders, and products incorporating Customer Materials, all sales are final unless otherwise expressly agreed to in writing by UBTHD.

Customer acknowledges that approval of product specifications, proofs, designs, quantities, artwork, logos, text, or other project details constitutes acceptance of those specifications. UBTHD shall not be responsible for errors contained in Customer-approved materials.

Any remedy provided by UBTHD for an eligible product issue shall constitute Customer’s sole and exclusive remedy to the fullest extent permitted by applicable law.

Nothing in this Section limits any rights or remedies available to Customer under applicable law that cannot be waived or limited by agreement.

Customer acknowledges and agrees that any return, refund, replacement, or product issue resolution relates solely to the physical product purchased and does not create any ownership rights, license rights, reproduction rights, manufacturing rights, or other rights relating to UBTHD Intellectual Property, including but not limited to UBTHD designs, product concepts, creative systems, product formats, manufacturing processes, production methods, or proprietary assets.

13. PRODUCT DISCLAIMER AND EXPECTED VARIATIONS

Customer acknowledges and agrees that UBTHD products may contain reasonable variations, differences, and characteristics inherent to the nature of small-batch production, collectible products, customized products, and individually produced items.

Customer understands that UBTHD products are not manufactured as identical mass-produced goods and that reasonable differences may occur between individual products, including but not limited to:

  • slight variations in color, tone, finish, texture, or appearance;
  • minor differences in alignment, placement, or application of designs;
  • variations caused by materials, manufacturing processes, production methods, equipment, or environmental conditions;
  • differences between digital images, product mockups, photographs, and the final physical product;
  • minor imperfections or characteristics associated with handmade, customized, or limited-production items.

Such variations are considered normal characteristics of UBTHD products and shall not be considered defects, failures, or grounds for returns, exchanges, refunds, or claims against UBTHD.

Customer acknowledges that product images, descriptions, mockups, previews, and promotional materials are intended to provide a reasonable representation of UBTHD products but may not display every minor variation that may occur in the final physical product.

UBTHD does not guarantee that:

  • colors displayed on electronic devices will exactly match the final physical product;
  • every product will have identical appearance or characteristics;
  • materials, finishes, suppliers, or production methods will remain unchanged indefinitely;
  • product availability, designs, collections, or product formats will continue permanently.

UBTHD reserves the right to make reasonable modifications, improvements, substitutions, or adjustments to materials, production methods, packaging, product formats, or manufacturing processes without notice when necessary to maintain product quality, availability, or operational requirements.

Customer acknowledges and agrees that the unique characteristics, limited availability, and production variations of UBTHD products are part of the value and identity of UBTHD products rather than defects or deficiencies.

Nothing in this Section limits UBTHD’s responsibility for products that are materially defective, materially different from the product ordered, or otherwise subject to remedies expressly provided under these Terms of Sale.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, UBTHD LLC (“UBTHD”) shall not be liable to Customer or any third party for any indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or relating to:

  • the purchase, possession, use, misuse, or inability to use UBTHD products;
  • delays, interruptions, or failures relating to product availability, production, fulfillment, shipping, or delivery;
  • Customer’s reliance on product descriptions, images, specifications, or other information provided by UBTHD;
  • Customer Materials, artwork, trademarks, logos, or information provided by Customer;
  • unauthorized modification, alteration, reproduction, resale, manufacturing, or commercial use of UBTHD products or UBTHD Intellectual Property by Customer or any third party.

Such excluded damages include, without limitation:

  • loss of profits;
  • loss of revenue;
  • loss of business opportunities;
  • loss of goodwill;
  • loss of reputation;
  • business interruption;
  • anticipated savings;
  • indirect commercial damages;
  • consequential losses.

Customer acknowledges and agrees that UBTHD’s obligations under these Terms of Sale are limited solely to providing the products and services expressly purchased by Customer and accepted by UBTHD.

To the maximum extent permitted by applicable law, UBTHD’s total aggregate liability arising out of or relating to any purchase, order, product, or transaction shall not exceed the total amount actually paid by Customer to UBTHD for the specific product or order giving rise to the claim.

Customer acknowledges and agrees that UBTHD shall not be responsible or liable for any claims, damages, losses, expenses, or liabilities arising from:

  • Customer’s misuse, alteration, modification, or unauthorized application of UBTHD products;
  • normal wear and tear associated with product use;
  • failure to follow product care instructions or reasonable product handling practices;
  • unauthorized reproduction, manufacturing, distribution, resale, or commercialization of UBTHD products or UBTHD Intellectual Property;
  • third-party actions, including shipping carriers, manufacturers, suppliers, retailers, resellers, or unauthorized users;
  • Customer-provided information, requests, instructions, artwork, trademarks, logos, or materials;
  • events outside of UBTHD’s reasonable control, including delays caused by suppliers, manufacturers, shipping providers, weather, government actions, labor disruptions, or other unforeseen circumstances.

Customer acknowledges and agrees that the limitations of liability contained in this Section are a material basis of the agreement between the Parties and reflect the intended allocation of risk associated with the purchase and sale of UBTHD products.

Nothing in this Section shall limit or restrict UBTHD’s rights or remedies relating to:

  • unauthorized use of UBTHD Intellectual Property;
  • infringement, misappropriation, or unauthorized exploitation of UBTHD designs, product concepts, creative systems, or proprietary materials;
  • unauthorized reproduction, manufacturing, or distribution of UBTHD products;
  • breach of confidentiality obligations;
  • violation of license restrictions or prohibited use provisions contained in these Terms of Sale.

Customer acknowledges that UBTHD products are purchased as physical consumer products and that Customer’s remedies are limited to those expressly provided under these Terms of Sale and applicable law.

15. INDEMNIFICATION

Customer agrees to defend, indemnify, and hold harmless UBTHD LLC (“UBTHD”), including its owners, members, officers, employees, contractors, representatives, affiliates, successors, and assigns, from and against any and all claims, demands, actions, causes of action, damages, losses, liabilities, judgments, settlements, costs, expenses, and reasonable attorneys’ fees arising out of or relating to:

  • Customer’s breach of these Terms of Sale;
  • Customer’s violation of any applicable law, regulation, or legal obligation;
  • Customer’s misuse, modification, alteration, or unauthorized use of UBTHD products;
  • Customer’s unauthorized reproduction, manufacturing, distribution, resale, commercialization, or exploitation of UBTHD products or UBTHD Intellectual Property;
  • Customer’s infringement, violation, or misuse of any third-party rights;
  • Customer Materials, artwork, trademarks, logos, names, designs, content, or other materials provided by Customer in connection with any purchase, custom order, collaboration, or approved use;
  • Customer’s representations, instructions, requests, approvals, or actions relating to UBTHD products or services.

Customer acknowledges and agrees that UBTHD does not independently verify ownership, authorization, licensing rights, permissions, or legal compliance relating to materials, information, or instructions provided by Customer.

Customer is solely responsible for ensuring that any materials, requests, intended uses, resale activities, marketing claims, or commercial applications involving UBTHD products are lawful and do not violate the rights of any third party.

Customer specifically agrees to defend, indemnify, and hold harmless UBTHD from claims arising from or relating to:

  • Customer’s unauthorized use of UBTHD products, designs, product concepts, creative systems, or other UBTHD Intellectual Property;
  • Customer’s attempt to reproduce, manufacture, outsource, or recreate UBTHD products or product concepts without written authorization;
  • Customer’s distribution, resale, marketing, promotion, or representation of UBTHD products in a manner inconsistent with these Terms of Sale;
  • Customer’s failure to obtain necessary permissions, licenses, releases, or approvals for any materials supplied by Customer.

UBTHD agrees to defend, indemnify, and hold harmless Customer solely from claims arising directly from UBTHD’s unauthorized use of Customer-provided materials outside the scope of any permission granted by Customer or these Terms of Sale.

However, UBTHD shall not be responsible for claims, damages, losses, or liabilities arising from:

  • Customer-provided materials, information, instructions, specifications, or approvals;
  • Customer’s misuse, alteration, modification, resale, redistribution, or unauthorized commercial use of UBTHD products;
  • unauthorized actions of third parties;
  • circumstances outside UBTHD’s reasonable control.

The indemnified party shall provide reasonable notice to the indemnifying party of any claim for which indemnification is sought, provided that failure to provide notice shall not eliminate indemnification obligations unless the delay materially prejudices the defense of the claim.

The indemnifying party shall have the right to control the defense and settlement of any claim, provided that no settlement may impose obligations, admissions, liability, or restrictions upon the indemnified party without the indemnified party’s prior written consent.

The obligations contained in this Section shall survive the completion of any purchase, delivery of products, termination of these Terms of Sale, or termination of any business relationship between Customer and UBTHD.

16. ENFORCEMENT OF UBTHD RIGHTS

Customer acknowledges and agrees that UBTHD LLC (“UBTHD”) has the right to protect, enforce, and preserve its ownership interests, intellectual property rights, contractual rights, and business interests relating to UBTHD products, designs, product concepts, creative systems, manufacturing processes, production methods, proprietary materials, and other UBTHD Intellectual Property.

Customer acknowledges that unauthorized use, reproduction, manufacturing, distribution, commercialization, or exploitation of UBTHD products or UBTHD Intellectual Property may cause harm to UBTHD that cannot be adequately compensated through monetary damages alone.

Accordingly, UBTHD reserves the right to pursue any available legal or equitable remedies against any individual, company, organization, reseller, manufacturer, supplier, or third party that:

  • reproduces, copies, imitates, or creates substantially similar products based on UBTHD products or UBTHD Intellectual Property without authorization;
  • manufactures, commissions, outsources, or assists in the production of unauthorized UBTHD products or derivative products;
  • uses UBTHD designs, product formats, creative systems, production methods, files, specifications, or proprietary materials without authorization;
  • distributes, sells, licenses, or commercially exploits UBTHD Intellectual Property outside the rights expressly granted by UBTHD;
  • misrepresents ownership, authorship, creation, design, production, affiliation, or authorization relating to UBTHD products;
  • breaches any restrictions, licenses, or obligations contained in these Terms of Sale or any other applicable UBTHD agreement.

Customer acknowledges and agrees that UBTHD may seek, where appropriate:

  • monetary damages;
  • recovery of profits resulting from unauthorized use;
  • injunctive relief;
  • temporary, preliminary, or permanent court orders preventing continued unauthorized conduct;
  • recovery of reasonable attorneys’ fees and costs where permitted by law;
  • any other remedies available under applicable law.

Customer acknowledges and agrees that possession, purchase, payment for, resale of an authorized UBTHD product, or access to UBTHD materials does not create any ownership interest, license, permission, or right to reproduce, manufacture, modify, distribute, or commercially exploit UBTHD Intellectual Property unless expressly authorized in writing by UBTHD.

Customer further acknowledges and agrees that UBTHD’s failure to immediately enforce any right, restriction, or protection contained in these Terms of Sale shall not constitute a waiver of UBTHD’s right to enforce such rights in the future.

No waiver, permission, exception, or authorization relating to UBTHD products, designs, intellectual property, or business practices shall be valid unless expressly provided in writing by an authorized representative of UBTHD.

Customer acknowledges that the protections contained in this Section are a material part of these Terms of Sale and are necessary to protect UBTHD’s creative assets, product identity, and business model.

17. NO RESELLER, WHOLESALE, PARTNERSHIP, OR AFFILIATION RELATIONSHIP

Customer acknowledges and agrees that the purchase of UBTHD products does not, by itself, create or establish any reseller relationship, wholesale relationship, partnership, joint venture, agency relationship, employment relationship, franchise relationship, sponsorship relationship, endorsement relationship, or other business affiliation between Customer and UBTHD LLC (“UBTHD”).

Except where expressly authorized by UBTHD through a separate written agreement, Customer’s purchase of UBTHD products does not grant Customer:

  • reseller status;
  • wholesale rights;
  • distributor rights;
  • preferred partner status;
  • territory rights;
  • category exclusivity;
  • licensing rights;
  • marketing rights;
  • authority to represent itself as an official UBTHD partner, representative, affiliate, or authorized distributor.

Customer shall not represent, imply, suggest, or communicate that Customer:

  • is owned by, operated by, controlled by, or affiliated with UBTHD;
  • is an official representative, agent, partner, or authorized collaborator of UBTHD;
  • has authority to act on behalf of UBTHD;
  • has been granted rights beyond those expressly provided through an applicable written agreement.

Customer acknowledges that purchasing UBTHD products, including purchasing products in larger quantities, does not automatically create a wholesale, partnership, collaboration, licensing, or commercial relationship with UBTHD.

Any authorized wholesale arrangements, reseller relationships, university relationships, brand collaborations, partnerships, or other commercial arrangements must be separately negotiated, approved, and documented in writing by UBTHD.

Nothing in these Terms of Sale restricts authorized resale of UBTHD products where such resale is expressly permitted by UBTHD or permitted under applicable law. However, authorized resale does not grant Customer ownership rights in UBTHD products, UBTHD Intellectual Property, UBTHD branding, product concepts, designs, creative systems, manufacturing methods, or other proprietary assets.

Customer shall not use UBTHD trademarks, logos, brand names, product images, marketing materials, or other UBTHD assets in a manner that creates a false impression of affiliation, endorsement, sponsorship, partnership, or authorization without prior written approval from UBTHD.

UBTHD reserves the right to determine, in its sole discretion, whether any proposed reseller arrangement, partnership, collaboration, wholesale relationship, or commercial use of UBTHD products requires a separate written agreement.

Customer acknowledges that the protections contained in this Section are intended to preserve clarity regarding the relationship between UBTHD and purchasers while allowing UBTHD to independently determine and authorize future commercial relationships.

18. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms of Sale and any purchase, transaction, order, or relationship between Customer and UBTHD LLC (“UBTHD”) shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles that would require the application of the laws of another jurisdiction.

The Parties acknowledge and agree that UBTHD LLC is organized under the laws of the State of Florida and that Florida law shall govern the interpretation, enforcement, validity, and performance of these Terms of Sale.

Any dispute, claim, controversy, or legal action arising out of or relating to:

  • these Terms of Sale;
  • the purchase, sale, delivery, possession, or use of UBTHD products;
  • Customer’s relationship with UBTHD;
  • UBTHD products, designs, branding, or intellectual property;
  • unauthorized use, reproduction, manufacturing, distribution, or commercialization of UBTHD products or UBTHD Intellectual Property;
  • payments, orders, refunds, returns, or product issues;

shall be resolved in accordance with the laws of the State of Florida.

The Parties agree that any legal action, proceeding, or dispute arising out of or relating to these Terms of Sale shall be brought exclusively in the state or federal courts located in Florida, unless the Parties mutually agree otherwise in writing.

Customer consents to the personal jurisdiction and venue of such courts and waives any objection based on inconvenient forum, lack of jurisdiction, or improper venue to the extent permitted by applicable law.

The Parties acknowledge and agree that Florida is a reasonable and appropriate jurisdiction for resolving disputes arising from these Terms of Sale due to UBTHD’s organization, operations, and business activities within the State of Florida.

Nothing in this Section shall limit UBTHD’s right to seek immediate injunctive relief, equitable remedies, or other appropriate relief in any court of competent jurisdiction to prevent or address:

  • unauthorized use of UBTHD Intellectual Property;
  • unauthorized reproduction, manufacturing, copying, or distribution of UBTHD products;
  • breach of confidentiality obligations;
  • misuse of UBTHD proprietary information or materials;
  • conduct that may cause irreparable harm to UBTHD’s brand, intellectual property, or business interests.

Customer acknowledges and agrees that certain violations involving intellectual property, unauthorized production, or misuse of UBTHD assets may cause harm that cannot be adequately remedied through monetary damages alone. Accordingly, UBTHD may seek temporary, preliminary, or permanent injunctive relief where appropriate and permitted by law.

19. UPDATES TO THESE TERMS

UBTHD LLC (“UBTHD”) reserves the right to update, modify, revise, or replace these Terms of Sale at any time to reflect changes to UBTHD’s products, services, business practices, legal requirements, policies, or operational needs.

Any updated version of these Terms of Sale shall become effective when posted on the UBTHD website, online store, or other applicable sales platform, unless otherwise stated.

Customer acknowledges and agrees that the version of the Terms of Sale in effect at the time of Customer’s purchase shall govern that specific transaction, except where changes are required by applicable law or where continued use of UBTHD services, platforms, or purchasing channels constitutes acceptance of updated terms.

UBTHD may update these Terms of Sale to address, including but not limited to:

  • product offerings;
  • purchasing procedures;
  • payment processes;
  • shipping and fulfillment procedures;
  • return and refund policies;
  • authorized resale requirements;
  • intellectual property protections;
  • permitted and prohibited uses of UBTHD products;
  • legal or regulatory requirements;
  • business practices or operational changes.

Customer’s purchase of UBTHD products after updated Terms of Sale have been posted constitutes acknowledgment and acceptance of the updated Terms of Sale applicable to that purchase.

No modification, update, waiver, or change to these Terms of Sale shall:

  • transfer ownership of UBTHD Intellectual Property;
  • create any implied license or permission to use UBTHD assets;
  • authorize unauthorized reproduction, manufacturing, copying, distribution, or commercialization of UBTHD products;
  • alter the ownership rights of either UBTHD or Customer in their respective materials unless expressly agreed in writing.

If any updated provision materially affects an existing customer relationship, order, or separate written agreement, such modification shall not override previously agreed terms unless expressly permitted by applicable law or agreed upon in writing by the Parties.

Customer acknowledges that UBTHD’s continued protection of its products, designs, intellectual property, brand identity, and business operations requires the ability to update these Terms of Sale as UBTHD grows and evolves.

20. SEVERABILITY AND ENTIRE AGREEMENT

If any provision, term, condition, obligation, or portion of these Terms of Sale is determined to be invalid, unlawful, unenforceable, or otherwise incapable of being enforced under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, if permitted by law, or otherwise severed from these Terms of Sale.

The invalidity, unenforceability, or removal of any individual provision shall not affect the validity, enforceability, or continued effectiveness of any remaining provisions of these Terms of Sale.

The Parties acknowledge and agree that the remaining provisions shall continue in full force and effect as if the invalid or unenforceable provision had never been included, unless removal of such provision materially alters the purpose or intent of these Terms of Sale.

These Terms of Sale, together with any applicable order confirmations, product descriptions, purchase records, written policies, and separate agreements expressly incorporated by reference, constitute the complete and entire agreement between Customer and UBTHD LLC (“UBTHD”) regarding the purchase, sale, and use of UBTHD products.

These Terms of Sale supersede all prior or contemporaneous understandings, communications, representations, statements, discussions, proposals, or agreements relating to the subject matter contained herein, whether written, oral, electronic, or otherwise, except for separate written agreements expressly executed by UBTHD.

Customer acknowledges and agrees that Customer is not relying upon any representation, promise, statement, or understanding outside of these Terms of Sale unless such representation is expressly included in a written agreement executed by UBTHD.

No prior course of dealing, industry practice, customer expectation, marketing communication, website content, social media communication, email exchange, or informal discussion shall modify, expand, limit, or override these Terms of Sale unless expressly incorporated into a written agreement executed by UBTHD.

Nothing in this Section shall limit or modify any separate written agreement entered into between UBTHD and Customer, including but not limited to:

  • custom product agreements;
  • collaboration agreements;
  • licensing agreements;
  • wholesale agreements;
  • reseller agreements;
  • partnership agreements;
  • other written commercial agreements.

Customer acknowledges that these Terms of Sale are intended to establish the general rules governing consumer and purchaser transactions while preserving UBTHD’s ability to enter into separate written agreements for specific business relationships or commercial arrangements.

              21. CONTACT INFORMATION
