These Terms establish the rules, conditions, and limitations governing access to and use of UBTHD websites, digital platforms, content, and online services.

These Terms explain:

The UBTHD Terms of Sale governs payment obligations, shipping, returns, refunds, cancellations, and other purchase-related matters.

Custom product orders, collaborations, and projects are additionally governed by applicable UBTHD agreements, including Custom Product Order Agreements and Trademark & Brand Agreements.

7. CUSTOM PRODUCTS AND CREATIVE PROJECTS

UBTHD may offer customized products, collaborations, and project-based services.

Custom projects are governed by separate written agreements executed by UBTHD, including Custom Product Order Agreements and applicable Trademark & Brand Authorization Agreements.

Submission of a custom project request, inquiry, artwork, logo, trademark, design file, or other material does not create any ownership interest, license, assignment, or transfer of UBTHD intellectual property.

Customers acknowledge that UBTHD retains ownership and control over:

product concepts;

product formats;

design frameworks;

creative systems;

artwork execution;

layouts;

templates;

collections;

manufacturing methods;

production processes;

techniques;

know-how;

proprietary processes;

derivative concepts;

and other UBTHD intellectual property.

Any rights granted to customers regarding custom products, collaborations, or submitted materials are limited solely to the rights expressly provided in applicable written agreements.

8. UBTHD INTELLECTUAL PROPERTY OWNERSHIP AND PROTECTION

UBTHD LLC retains exclusive ownership of all right, title, and interest in and to all UBTHD intellectual property, including but not limited to:

designs;

artwork;

illustrations;

product concepts;

product formats;

collections;

creative systems;

design frameworks;

layouts;

templates;

manufacturing processes;

production methods;

technical specifications;

files;

know-how;

proprietary processes;

derivative concepts;

website content;

branding elements;

and other creative or proprietary materials developed, created, owned, or controlled by UBTHD.

Use of UBTHD websites, purchase of UBTHD products, participation in collaborations, receipt of products, access to website materials, or viewing of UBTHD content does not transfer ownership of any UBTHD intellectual property.

No license, permission, authorization, ownership interest, or other rights in UBTHD intellectual property are granted unless expressly provided through a separate written agreement executed by UBTHD.

Users and customers may not:

copy;

reproduce;

modify;

distribute;

manufacture;

reverse engineer;

replicate;

create derivative works from;

commercially exploit;

or authorize any third party to use

UBTHD intellectual property without prior written authorization from UBTHD.

Customers specifically acknowledge that UBTHD’s product concepts, creative systems, product formats, manufacturing processes, and methods of production represent proprietary creative and commercial value belonging exclusively to UBTHD.

Possession of UBTHD products, images, files, previews, mockups, website content, or other materials does not create any right to reproduce, manufacture, recreate, or develop substantially similar products.

9. NO IMPLIED LICENSE OR AUTHORIZATION

Except for rights expressly granted in a written agreement signed by UBTHD, no license, permission, authorization, ownership interest, or other rights are granted to any user, customer, organization, brand, creator, or third party.

No rights shall be created through:

purchase;

payment;

possession;

access;

viewing;

submission of materials;

approval;

delivery;

use;

course of dealing;

or any other action.

Any permitted use of UBTHD intellectual property must remain limited to the specific purpose, product, and scope expressly authorized by UBTHD.

10. PROHIBITED USES

Customer-submitted materials, including trademarks, logos, artwork, brand assets, and other Customer Materials, remain subject to ownership rights established in applicable UBTHD agreements.

Submission of materials to UBTHD does not transfer ownership of those materials to UBTHD unless expressly agreed in writing.

By submitting communications or materials through UBTHD platforms, users grant UBTHD permission to use such submissions solely as reasonably necessary to:

respond to inquiries;

provide requested services;

process orders;

evaluate custom projects;

operate business functions;

maintain records.

UBTHD does not obtain ownership of Customer Materials solely through submission.

12. THIRD-PARTY PLATFORMS AND LINKS

UBTHD websites may contain links, integrations, or references to third-party platforms, websites, applications, or services.

These may include:

Shopify;

Shopify Payments;

Shop Pay;

TikTok;

TikTok Shop;

social media platforms;

payment providers;

shipping providers;

other third-party services.

Third-party platforms operate independently from UBTHD and may have separate terms, privacy policies, and business practices.

UBTHD does not control and is not responsible for:

third-party websites;

third-party content;

third-party security practices;

third-party privacy practices;

third-party services;

Where a specific transaction or relationship is governed by a separate written agreement, that agreement shall control with respect to the subject matter addressed within that agreement.

These Terms, together with applicable agreements and policies referenced herein, establish the complete framework governing the relationship between users and UBTHD regarding website access and use.
